AMCI Acquisition II Pushes LanzaTech Vote Back Until Tomorrow 

II convened and adjourned its stockholders meeting yesterday, rescheduling for Friday, Feb. 3. Shareholders are expected to vote on a merger with with carbon capture and transformation company LanzaTech. Announced almost a year ago, the deal carries an implied $1.8 billion pro forma enterprise value.

AMCI II in December amended terms of its merger agreement with LanzaTech in the acquiror closing cash amount, which was lowered from $250 million to $230 million.

If the Acquiror Closing Cash Amount will be less than the Minimum Acquiror Closing Cash Amount, AMCI said it would enter non-redemption agreements.

AMCI II in October secured funding commitments for a $55 milllion PIPE that would be used to support the deal. Read more.
