USA Acquisition in a letter to the SEC said it will not proceed with an offering of 15 million units initially registered with the regulator in December 2021.
USA Acquisition was broadly focused on tech firms.
The SPAC is led by Chairman and Director W. Carter McClelland, who began his career at Morgan Stanley and ultimately became the firm’s chief administrative officer and a member of its operating committee. He co-founded Morgan Stanley’s technology investment banking group.
USA Acquisition had planned to list on the Nasdaq with Jefferies and BTIG tapped as joint book-running managers. Read more.
